These Terms & Conditions apply to all works outlined in a PSS Cost Estimate and form part of the agreement between Paper Stone Scissors (PSS) and the Client.

By signing a Cost Estimate, or providing written instruction to proceed (including email approval), the Client confirms they have read, understood and accepted these Terms & Conditions.

1. Authority to Proceed
Work will only commence once PSS has received written approval of the Cost Estimate and authority to proceed.

Approval may be provided by signature, email or other written confirmation and will constitute acceptance of these Terms & Conditions.

2. Payment Terms
Unless otherwise agreed in writing, PSS payment terms are as follows:

A 50% deposit may be required prior to commencement of work.
Projects will be invoiced progressively throughout the duration of the project, or at key project milestones.
Third-party costs (including photography, talent, styling, locations, travel and production expenses) may require payment prior to commencement.
All invoices are payable within the agreed payment terms stated on the invoice.
PSS reserves the right to withhold final artwork, files, assets or deliverables until all outstanding invoices have been paid in full.

3. Additional Work
Any work required outside the approved scope will be quoted and billed in addition to the original Cost Estimate.

This includes, but is not limited to:

Additional deliverables
Changes to the approved brief
Additional revisions
Additional meetings or consultation requests
Changes requested after final approval
Third-party costs not included in the original Cost Estimate
PSS will advise the Client of any additional costs prior to proceeding.

4. Project Timelines & Delays
Any project timelines, delivery dates or production schedules provided by PSS are estimates only and are dependent on the timely receipt of client feedback, approvals, content and assets.

Where a project is delayed by 10 business days or more due to client actions, inaction, or requested changes, PSS reserves the right to invoice work completed to date.

PSS will not be liable for delays arising from circumstances outside its reasonable control.

5. Client Changes & Rescheduling
Any costs incurred due to client-requested changes, postponements, cancellations or rescheduling after work has commenced or costs have been committed will be charged in addition to the original Cost Estimate.

This may include supplier cancellation fees, venue costs, talent fees, travel costs and other third-party charges.

PSS will make reasonable efforts to minimise these costs where possible.

6. Copyright & Intellectual Property
Upon full payment of all invoices, the Client is granted a licence to use the final approved work for its intended purpose, unless otherwise agreed in writing.

PSS retains ownership of all preliminary concepts, working files, unused creative and intellectual property developed during the course of the project.

Copyright of commissioned third-party works (including photography, illustration and other specialist services) remains with the original creator unless otherwise agreed.

The Client warrants that any materials supplied to PSS do not infringe the rights of any third party and indemnifies PSS against any claims arising from their use.

7. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the course of the project.

This obligation continues after the completion or termination of the project, except where information enters the public domain through no fault of either party.

8. Termination
Either party may terminate the project by providing 14 days’ written notice.

PSS reserves the right to invoice all work completed up to the date of termination.

The Client is not permitted to use incomplete work, concepts or works in progress unless otherwise agreed in writing.

9. Liability
PSS will perform all services with due care and professional skill and will rectify any errors it creates at its own cost.

The Client is responsible for thoroughly reviewing and approving all final artwork, content, spelling, dimensions and production specifications prior to release or print.

PSS will not be liable for any indirect, incidental or consequential losses, including loss of profits, business interruption or loss of data.

10. General Terms
Any amendments to these Terms & Conditions must be agreed to in writing by both parties prior to commencement of work.

These Terms & Conditions apply to all Cost Estimates issued by Paper Stone Scissors unless otherwise agreed in writing.
